Kogo Creative Privacy Policy
Introduction
These terms and conditions govern the provision of services by Kogo Creative Limited (“Kogo Creative”). By placing an order with Kogo Creative, you (“the Client”) agree to comply with the terms set out in this document. This agreement constitutes a legally binding contract between Kogo Creative and the Client for website design, development, and related services.
Acceptance of Work and Contract Formation
A contract between Kogo Creative and the Client is formed only upon the issue of an invoice by Kogo Creative. The invoice signifies acceptance of the Client’s offer to purchase services. It is the Client’s responsibility to verify the accuracy of the invoice and retain a copy for their records. Kogo Creative reserves the right to withdraw from the contract prior to acceptance.
Content and Material Restrictions
Kogo Creative reserves the right to refuse any material it deems inappropriate, unlawful, or harmful. This includes, but is not limited to, media containing viruses, malicious software, or content that is harassing, racist, or obscene.
Definitions and General Provisions
These terms and conditions apply to all transactions between Kogo Creative and its Clients, unless otherwise agreed in writing. Any variation to these terms must be expressly documented and agreed by both parties. In the event of any conflict between these terms and another written agreement, these terms shall take precedence unless stated otherwise.
Kogo Creative reserves the right to update these terms periodically. Clients are advised to review them regularly to remain informed of any changes.
Domain Names and Hosting
Client Responsibility
The Client accepts full legal responsibility for the use of third-party domain names, hosting, and email services. Kogo Creative shall not be liable for any claims arising from the Client’s use of these services.
Support and Payment
All support and payment obligations relating to domain names, hosting, and email services are the sole responsibility of the Client and the relevant third-party providers. Kogo Creative does not manage these obligations.
Estimates and Project Scope
Kogo Creative provides initial project estimates upon request. These estimates (quotations) are valid for one month from the date of issue. Should the Client request changes or additions beyond the original scope, the final project cost may be adjusted accordingly.
Acceptance of a quotation by the Client constitutes acceptance of these terms and conditions, unless otherwise agreed in writing.
Intellectual Property and Copyright
Upon full payment, the Client will own the copyright in the completed web designs, images, pages, code, and source files produced by Kogo Creative. Unless otherwise agreed in writing, ownership remains with Kogo Creative until payment is received. The Client is granted a non-exclusive, limited licence to use the design on a single website and domain. Resale or distribution of completed files is prohibited unless expressly agreed in writing.
The Client warrants that all media and content supplied to Kogo Creative are owned by the Client or used with the appropriate permissions. The Client agrees to indemnify Kogo Creative against any claims arising from the use of such materials.
Pricing and Payment Terms
Standard Charges
Professional Services: The standard rate is £85.00 per person, per hour or part thereof. Meetings or professional attendance are billed at a minimum of two hours.
Travel and Expenses: Mileage is charged at 50p per mile from Kogo Creative’s office. Business class rates apply for rail and air travel unless otherwise specified. Additional expenses such as accommodation and subsistence will be billed to the Client.
Additional Costs
External Contractors: Items procured from third-party contractors may incur a management fee.
Unforeseen Costs: Any costs arising from unforeseen circumstances will be charged on terms no less favourable to Kogo Creative than those outlined in this contract.
Taxes: VAT, import duties, and other applicable taxes will be added to the Client’s invoice.
Project Execution and Timelines
Kogo Creative will endeavour to adhere to agreed project timelines; however, unforeseen delays may occur. In such cases, Kogo Creative will notify the Client promptly by email.
The Client is responsible for providing all necessary content within one week of the project start date. Failure to do so may result in project termination or renegotiation of terms.
Search Engine Optimisation (SEO) Terms
Scope of SEO Services
Kogo Creative may provide Search Engine Optimisation (SEO) services, which may include but are not limited to: keyword research, on-page optimisation, technical SEO, content recommendations, link building, competitor analysis, SEO reporting, and website audits. The exact scope of SEO work will be detailed in the project quotation or proposal and may be amended by mutual written agreement.
Client Responsibilities
The Client must provide timely access to website content management systems, analytics, hosting, and any other platforms or tools required for SEO services.
The Client is responsible for supplying any required content, images, or information as requested by Kogo Creative.
The Client warrants that all materials provided for SEO purposes are owned by the Client or that the necessary permissions have been obtained.
Performance and Deliverables
Kogo Creative will use best practice and commercially reasonable efforts to improve the Client’s website visibility and search engine rankings.
Deliverables may include SEO reports, optimised content, technical recommendations, and other agreed outputs, as specified in the project proposal or quotation.
Kogo Creative does not guarantee specific rankings or outcomes, due to the unpredictable and competitive nature of search engine algorithms and external factors beyond Kogo Creative’s control.
Limitations and Exclusions
Kogo Creative is not responsible for changes made by the Client or third parties to the website that may adversely affect search engine rankings or SEO performance.
Any additional work outside the agreed scope, such as website code changes or creation of new content, will be subject to a separate quotation and agreement.
Kogo Creative cannot be held liable for any loss or damage resulting from search engine algorithm changes, penalties, or actions taken by search engines against the Client’s website.
Payment and Fees
All SEO-related fees are non-refundable. Payment terms for SEO services will follow the standard payment provisions outlined in this agreement unless otherwise specified in writing.
Additional costs for third-party tools, advertising, or external resources required for SEO work will be communicated to the Client and must be approved in advance.
Reporting and Communication
Kogo Creative will provide regular updates and reports on SEO activities and progress, as agreed with the Client. The frequency and format of such reports will be specified in the project scope.
Communication regarding SEO services will be conducted via email or other agreed methods.
Confidentiality
All documents, recommendations, reports, and communications related to SEO services are confidential and intended solely for the Client’s internal use.
Termination
Either party may terminate SEO services in accordance with the general termination provisions in this agreement. Upon termination, all outstanding fees for services rendered up to the termination date will become immediately due and payable.
